Constitution of the Willoughby-Eastlake

Name Section 1:
The Name of this organization shall be the Section 2: The gifted and talented shall be defined as “those capable of high performance by virtue of demonstrated achievement and/or potential ability in any of the following areas, singly or in combination: 1. general intellectual ability; 2. specific academic achievement; 3. creative or
productive thinking Article 2:
Purpose Section 1:
The purpose of this association is to coordinate activities of parents,
teachers, and other community forces in developing and disseminating practical
suggestions for the guidance of, as well as, for more adequate
programs for the gifted and talented. Section 2:
It shall also be the purpose of this Association to promote continual
research and development in the areas of gifted and talented. Section 3:
The Association shall also conduct at least one fund raising event each
year, the proceeds of which shall be used
to enhance the educational process of
the gifted and talented children within the WE City School District as
designated by the general membership of the Association in
accordance with the Association’s Article 6 of the Constitution If
the general membership chooses to conduct additional fundraising events
which are supported by the general population of the school, then those proceeds
may be used to enhance the educational
process of the entire school population.
However, the majority of the
proceeds shall be used to enhance the educational process of the gifted and
talented children within the WE City School District. All distribution of fundraising proceeds must be designated
by the general membership of the Association in accordance with the
Association’s Article 6 of the Constitution. Section 1:
Persons interested in the education of the gifted and talented may become
members of this association by the payment of annual dues in the manner provided
for in the by-laws of the Association. Section 2:
Members shall be entitled to participate in all activities of The
Association. Article 4:
Officers Section 1:
The elected officers of this Association shall be President,
Vice-President, Secretary, and Treasurer. Section 2:
A candidate for office shall be a member of The Association in good
standing. Section 3:
The election of the officers will be held at the meeting in April. Section 4:
The Nominating Committee, consisting of at least three members in good
standing, shall meet prior to the April meeting and shall submit the slate of
candidates to the membership prior to the April meeting either by mail or at a
general membership meeting. Section 5:
The newly elected officers shall assume their duties in June. Section 6:
Officers shall serve a term of one year.
No officer shall serve more than two (2) consecutive terms in the same
position. Article 5:
Meetings Section 1:
There will be a minimum of three (3) general membership meetings during
the school year. A majority of the
members present at the general meeting shall constitute a quorum. Article 6: Budget Section
1: Officers shall submit a proposed
budget at the first general membership meeting of the school year.
The proposed budget will be formulated entirely on the balance forward
from the previous fiscal year and will not depend on any anticipated fundraising
from the current fiscal year. The
proposed budget shall be reviewed, revised, if necessary, and adopted by a
majority of the members present and voting. Article 7:
Rules of Procedure Section 1:
The rules of parliamentary practice comprised in Robert’s Rules of
Order, Revised, by Henry M. and Isabel H. Roberts shall govern the
proceedings of This Association subject to the special rules which have been
adopted. Article 8:
Amendments Section 1:
The Constitution may be amended at any regularly scheduled meeting of The
Association by a 2/3 vote of the members present and voting, providing that a
written notice has been sent to all members prior to that meeting. Section 2:
The By-Laws may be amended at any regular scheduled meetings of The
Association by a simple majority of the members present and voting, provided
that a written notice has been sent to all members prior to that meeting. Article 9:
Dissolution Section 1: In the event of the dissolution of This Association, all assets of the Willoughby-Eastlake Association for the Gifted and Talented shall be transferred to the Zenith Trust Fund, or a trust fund established for this purpose, of the Willoughby-Eastlake City School System, a non-profit organization as defined by the Internal Revenue Service under Section 501(c) (3) of the Internal Revenue Code. 1:
Finance and Dues Section
1:
The fiscal year of The Association shall be August 1 to July 31.
An annual audit shall be conducted at the end of each fiscal year. Section
2:
Annual dues for members shall be per family and determined by the
Executive Committee. 1997 - $5.00 Section
3:
Dues shall be payable to The Association by the 1st of November of each school year. Section
4:
The Treasurer or Membership Chairman shall collect all dues. Section
5:
The Association shall pay the yearly dues of two (2) elected officers
President and Vice-President at the prevailing rate per officer to
maintain affiliation with the Ohio Association for Gifted Children
(OAGC). Section
6:
The Association shall pay the annual fee associated with the
bonding of the President and Treasurer of the Association. Section
7:
In the event that any proposed expenditure exceeds the approved
budget amount by more than 10%, not to exceed $200, then the general membership, at the next general
membership meeting, must be informed why the proposed expenditure exceeds the budget and the expenditure
must be
approved by the general membership. Article
2:
Executive Committee Section
1:
The Executive Committee shall consist of the elected officers and the chairmen of all standing committees, as well as the chairman of the
Nominating Committee. Section
2:
The Executive Committee shall meet at the call of the President and take
care of all necessary business and any special situations that occur between scheduled general meetings. Section
3:
Special meetings may be called by the President or upon written request
of at least three (3) members with one week
notice. Section
4:
Executive Committee members must attend all meetings unless excused by the President. Article
3:
Officers Section
1:
Duties of the President shall consist of, but are not limited to:
A:
Call and preside at all regularly scheduled general meetings and Executive
Committee meetings.
B.
Be an ex-officio member of all committees, except Nominating.
C.
Represent The Association in any activity related to the education and interests of the gifted and talented.
D.
Delegate any officer or general member to represent The Association.
E.
Appoint all committee chairmen, unless otherwise directed by the membership.
F.
Meet with the Gifted and Talented Coordinator of the Willoughby-Eastlake
City School System prior to the beginning of each school year to set up meeting
dates, fundraising activities and fundraising objectives for The Association.
G.
Act as the Association’s contact person to the Ohio Association for Gifted Children (OAGC).
H.
Submit all necessary paperwork for room and building usage by The Association in it’s program and fundraising activities.
I.
Act as The Association’s Historian by maintaining all past Association records in good condition.
J.
Sign or co-sign all contracts related to Association activities. Section
2:
Duties of the Vice-President shall consist of, but are not limited to:
A:
Assume the duties of the President in his/her absence.
B:
Assist the President in his/her duties.
C:
Act as the Program Chairman which includes locating appropriate programs
relating to the gifted and talented, co-signing contracts, developing, printing,
and distributing publicity materials to the membership.
D:
Perform other duties as assigned by the President.
A:
Keep an accurate written record of all general and Executive Committee
meetings.
B:
Be responsible for all correspondence.
C:
Act as the Publicity Chairman, which includes contacting the school
administration for advance publicity, distribution of information to the
membership via telephone calls, flyers at the schools and mailings.
D:
Perform other duties as assigned by the President.
E:
Maintain an accurate inventory list of all items purchased by the Association, with an annual update occurring before May 15. Section
4:
Duties of the Treasurer shall consist of, but are not limited to:
A:
Receive all moneys of the Association and pay out all funds only if accompanied by a receipt.
Payment should be made within 14 days of receipt or designated terms.
B:
Deposit all moneys to the Associations’ account(s) within 7 days
of receipt.
C:
Maintain Association bank account(s) and any other financial account(s).
D:
Notify two other Board members of returned checks upon their receipt and receivables which have not been paid within 14 days.
E:
Co-sign all appropriate contracts dealing with the fiscal activities
of The Association.
F:
Report in writing all financial transactions of The Association.
G:
At the end of each fiscal year, have the books prepared for audit.
H:
Act as the Membership Chairman which includes receiving all moneys, keeping an accurate and up-to-date account of all members, and
dispensing membership forms and publicity as needed.
I.
Perform other duties as assigned by the President. Section
5: At least
one (1) elected officer should attend each PTA meeting to ensure
representation and encourage cooperation. Article
4: Standing
Committees Section
1: There
may be standing committees in the following areas:
A:
Ways & Means
B:
Hospitality
C:
Publicity
D:
Program
E:
Historian
F:
Membership
G:
Fundraising Section
2:
Elected officers may assume the duties of Standing Committee Chairmen. Section
3:
Special Committees may be established and duties assigned by the President, such as:
A:
Audit
B:
Nominating
C:
By-Laws Section
4:
Duties of the Committee Chairmen shall be, but are not limited to:
A:
Appoint a Co-Chairman if necessary.
B:
Fulfill duties and objectives as dictated by the Executive Committee and
the general membership.
C:
Submit in duplicate an annual report in writing; one copy to remain in the Association
files and the second to be passed on to the succeeding chairman. Article
5:
Activities of the Association
No officer, committee member or general
member may undertake any action in the name of The Association without prior
approval of the Executive Committee. |
